Bylaws of the Friends of the Oakland Municipal Band

Article I Name

Friends of the Oakland Municipal Band (FOMB), a non profit organization.

Article II Purpose

The purpose of this organization shall be: To organize and contract professional musicians as the Oakland Municipal Band; to secure funding to pay the musicians; to present concerts at the Bandstand in Lakeside Park each summer.

Article III Membership

Section 1. All donors to FOMB in a given year are members. Donors of $100 or more are voting members.

Section 2. A membership year starts on the day of the the first concert of the year (currently July 4) and lasts through the end of concerts the following year.

Section 3. The fiscal year shall be from january 1 through December 31.

Article IV Officers

Section 1. Officers. The elected officers of this organization shall be: Chairman, Vice Chairman, Recording Secretary, Treasurer and a minimum of two Directors.

Section 2. Duties of Officers

A. The Chairman shall preside at all meetings of FOMB, assign members to the standing committees, and have general supervision of the FOMB activities.

B. The Vice Chairman shall perform the duties of the chairman in his or her absence, and perform such additional duties as may be assigned.

C. The Recording Secretary shall record and provide the minutes of all meetings, be custodian of all records, and prepare an annual Activity Report.

D. The Treasurer shall receive and be custodian of all funds of FOMB and shall pay all bills upon authorization; shall keep account of all moneys received and dispersed and shall report monthly and annually.

E. The Directors shall serve in an advisory capacity and perform such additional duties as may be assigned.

Article V Standing Committees

Section 1. Standing Committees. The Standing Committees may include, but are not limited to:

Administration – to arrange the formation and hiring of the Band, and reserve the Bandstand.

Program  to coordinate with the conductor to produce the concert program.

Publicity  to do Public Relations tasks with all possible news outlets and post items on City of Oakland Web Site.

Volunteer  to recruit and direct volunteers for set up and take down of the band equipment.

Financial – to review the accounts provided by the Treasurer.

Article VI Amendments

The Bylaws may be amended by a two thirds vote of the members present at a regular meeting of the membership of FOMB, a quorum being present, provided written notice of the proposed action has been given to all members at least thirty days prior to the meeting, or at a special meeting called for this purpose, subject to the same provision.

Article VII Dissolution

Upon the dissolution of the association, its assets remaining after payment or revision for payment of all duties and liabilities of this association, shall be distributed to a non-profit fund, foundation, or corporation in Alameda County which is organized and operated exclusively for the identification of musical programs, and which has established it tax exempt status under sec 501(c) of the Internal Revenue Code.
